Software Vendor Agreement

A software vendor agreement is an agreement which is made or drafted when one party wishes to buy software or software related products from the vendor who sells such software. Such agreements consist of certain terms and conditions which have to be followed by the vendor and vendee to avoid legal implications.

Sample software vendor agreement:

This agreement has been made effective as on 12th March 2011

This agreement shall remain into effect for 12 months

Termination date: 12th March 2012

This agreement has been made between Mr. Paul Law who is hereafter referred to as the Vendee and Mr. Greg Brown who is hereafter referred to as the vendor in the entire agreement.

The vendor agrees to create and sell software products to vendee for 12 months under agreement terms.

The cost of these softwares shall vary with one software to another but the total cost for one year will be $30000.

The following are the terms and conditions:

  • The vendor must exactly create and develop softwares according to the need and requirements of the vendee.
  • The vendee must give a detailed specification list of the kind of software needed.
  • The vendee can terminate agreement in case of any error in the functioning of software.
