Generic Confidentiality Agreement


A generic confidentiality agreement is an agreement signed between the disclosure and the recipient. In this agreement both the parties agree to a certain number of terms and conditions. This type of an agreement deals with the passing of subject matter or business confidential information from disclosure to recipient.

Sample generic confidentiality agreement:

This agreement is signed between the DISCLOSURE and the RECIPIENT on 26th December, 2010 and shall be effective from 1’st Jan 2011 onwards.

Both the parties have signed this agreement based upon the following points:

  1. The Disclosure hereby agrees to pass all the confidential information including strategically details, design, technology, business methods, product name etc to the RECIPIENT.
  2. The RECIPIENT agrees to use all the information only for the purpose of discussion and cannot disclose the information to a third party
  3. This agreement is valid for 3 years from the effective date of agreement.
  4. All the confidential information remains the sole property of the DISCLOSURE and the RECIPIENT agrees to return it back at the end of the agreement duration.

Both the parties agree to the above mentioned points.
