Draft Confidentiality Agreement


Draft confidentiality agreement is an agreement which is made between two parties known as the disclosing party and the receiving party. These agreements are legal documents containing the conditions and statements under which both the parties are bound to share confidential information.

Sample draft confidentiality agreement:

THIS AGREEMENT, entered on the day of 26th Dec, 2010

Between:

Banks Petroleum Company, a company organized under the laws of USA, having its office at USA, G House, Dr. Greg George Road, CA (hereinafter referred to as the “Disclosing Party”)

AND

Geoffrey Williams Organization, a company run by William brothers and deals with petroleum products (hereinafter referred to as the “Receiving Party”)

The following are the terms and conditions of the agreement:

  • The recipient agrees to keep all the data and information regarding Banks Petroleum Company confidential and to itself and not to be made public during the term of the agreement which is 12 months.
  • The disclosing party shares all the information under the realization that this data shall be kept undisclosed and would be returned back to it after 12 months from the effective date.
  • The violation of the terms can lead to serious legal implications.
